Terms of Service

1. Who we are

Assistly ("we", "us", "our") provides a white-label AI assistant platform that gives businesses and their employees access to a business-aware AI assistant, along with tools for tasks, notes, incident logging, handover notes, and team communication (the "Service"). These terms govern your access to and use of the Service.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. If you're setting up a workspace on behalf of a business, you confirm you're authorised to accept these terms on that business's behalf.

3. Your account and responsibilities

You're responsible for the accuracy of the information you and your team load into the Service, for keeping your login credentials secure, and for everything that happens under your account. You must not use the Service to store or process unlawful content, or to share access with anyone outside your organisation without our agreement. Workspace administrators are responsible for managing who within their organisation has access and at what permission level.

4. Subscriptions and payment

Paid plans are billed monthly in advance via our payment processor, Stripe. Prices are shown, exclusive of any applicable tax, on our pricing page. We may change prices with at least 30 days' notice to existing customers; continued use of the Service after a price change takes effect constitutes acceptance of the new price. Annual billing, where offered, is billed upfront for the full year at the discounted annual rate.

5. Free trial

New workspaces receive a 14-day free trial with full access to their selected plan. No payment card is required to start a trial. At the end of the trial, you'll need to subscribe to continue using the Service — your data is retained and becomes accessible again as soon as you subscribe.

6. Cancellation

You may cancel your subscription at any time from your account's billing settings, which will open our Stripe customer portal. Cancellation takes effect at the end of the current billing period; we don't provide refunds for partial billing periods except where required by law. If a payment fails, we'll attempt to collect payment again before restricting access to the Service.

7. Data handling

We process the data you and your team put into the Service in order to provide it — this includes business information used to power your assistant's answers, messages, tasks, notes, and related records. We do not sell your data. Our data storage, processing, and third-party service providers are described in full in our Privacy Policy.

8. Acceptable use

You agree not to use the Service to break the law, infringe anyone's rights, transmit malicious code, attempt to gain unauthorised access to our systems or other workspaces, or interfere with the Service's normal operation. We reserve the right to suspend or terminate access to any workspace that breaches these terms.

9. AI-generated content

Assistly's assistant is powered by Anthropic's Claude API. Your team's conversations and the business context you provide are sent to Anthropic in order to generate responses — see our Privacy Policy for how that data is handled. While we aim for accurate, helpful responses grounded in the business context you provide, AI-generated answers may occasionally be incomplete or incorrect. You remain responsible for verifying important information — particularly around safety, compliance, legal, and financial matters — before relying on it.

10. Intellectual property

We own all rights, title, and interest in the Service itself — its software, design, and branding. Nothing in these terms transfers that ownership to you. You and your organisation retain full ownership of the business content you load into the Service (business context, messages, tasks, notes, and other records); we're only ever licensed to process it in order to provide the Service to you, as described in our Privacy Policy.

11. Limitation of liability

To the maximum extent permitted by law, Assistly is provided "as is" without warranties of any kind. We are not liable for indirect, incidental, or consequential losses, or for any loss of profits, revenue, or data, arising from your use of the Service. Our total liability to you for any claim arising from these terms is limited to the amount you paid us in the 12 months preceding the claim.

12. Changes to these terms

We may update these terms from time to time. If we make material changes, we'll notify workspace owners by email or in-app notice before the changes take effect. Continuing to use the Service after that point means you accept the updated terms.

13. Governing law

These terms are governed by the laws of England and Wales, and any disputes arising from them will be subject to the exclusive jurisdiction of the courts of England and Wales.
